Terms of use.

These terms govern the OffDeck QuickBooks Online integration — a private tool OffDeck operates to connect its own QuickBooks company to its internal AI assistant. Short, plain, and honest about what the integration does and doesn't do.

In one paragraph.

The OffDeck QuickBooks integration is provided by OffDeck for OffDeck's own internal use. By connecting or using it, you agree to use it lawfully and only for OffDeck's legitimate accounting operations. You own your QuickBooks data; OffDeck owns the integration. Access is via Intuit's OAuth and can be revoked at any time. The integration is provided "as is," and OffDeck's liability is limited as described below.

Not a public product. This integration is operated by OffDeck for OffDeck. It is not sold, licensed, or made available to third parties.

Who's who.

"OffDeck", "we", "us", and "our" mean Lipman Consulting LLC, an Ohio limited liability company that also operates as "OffDeck" and "Redwhale". "The integration" means the software OffDeck uses to connect to QuickBooks Online through Intuit's API. "You" means an authorized OffDeck user who connects or uses the integration.

What the integration is.

The integration connects OffDeck's QuickBooks Online company to OffDeck's internal AI assistant via Intuit's official API, using OAuth 2.0. It lets authorized OffDeck personnel read accounting data and, where authorized, maintain records. It does not modify Intuit's services and adds no capability beyond what the QuickBooks Online Accounting API already provides.

Acceptable use.

Use the integration only for OffDeck's legitimate internal accounting and operations. Do not:

  • Use it to access any QuickBooks company other than one OffDeck is authorized to access.
  • Use it unlawfully, or to violate Intuit's terms or API policies.
  • Attempt to circumvent its security or authentication.
  • Share access with anyone who is not an authorized OffDeck user.

Data & privacy.

How the integration handles data is described in the privacy policy, which is incorporated into these terms by reference. In short: we access only what's needed, we don't sell data or use it to train third-party AI models, and you can disconnect at any time.

Intuit's terms.

Your use of QuickBooks Online remains governed by your agreement with Intuit. Nothing here overrides Intuit's terms or privacy policy. The QuickBooks name and logo are trademarks of Intuit Inc.; OffDeck is not affiliated with or endorsed by Intuit.

Warranties & disclaimers.

The integration is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. The integration is a tool to assist with accounting work — it is not a substitute for professional accounting, tax, or legal advice, and outputs should be reviewed by a qualified person.

Limitation of liability.

To the maximum extent permitted by law, OffDeck will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits or data, arising from use of the integration.

Termination.

Access may be ended at any time — by you, by disconnecting from within QuickBooks (see the disconnect guide), or by OffDeck. On termination, OffDeck's access token is revoked and stored credentials are deleted.

Changes to these terms.

We may update these terms as the integration evolves. Material changes will be reflected here with an updated "last updated" date.
